History

The Companies Bill was introduced in the Legislative Assembly during the Second Session of the Seventeenth Parliament in 1940 by the Minister for Justice, the Hon. E. Nulsen M.L.A. After debate on the second reading on 3 December 1940, the Hon. E. Nulsen and A.V.R. Abbott, A.J. Rodoreda and A.F. Watts were appointed as a Select Committee to consider the Bill. Subsequent to the receipt of a message from the Legislative Assembly, the Honourables L. Craig, G. Fraser, H. Seddon and A. Thomson were appointed on 4 December 1940 as a Select Committee of the Legislative Council to confer with the members of the Legislative Assembly appointed to consider the provisions of the Companies Bill.

It was found necessary prior to the prorogation of Parliament by the Governor which automatically dissolves the Joint Select Committee, for its conversion into a Royal Commission, and accordingly the members were appointed as an Honorary Royal Commission by the Governor on 9 July 1941.

The terms of reference for the Royal Commission were to inquire into and report upon the following matters:

1) The provisions of the Bill for an Act to consolidate and amend the law relating to companies and for other purposes before the Legislative Assembly in the Parliament of Western Australia;

2) To do such other acts, matters and things in relation to the Bill as the Commission might or could do as a joint select committee of the Legislative Assembly and Legislative Council of the Parliament of Western Australia pursuant to the resolutions thereof referring the Bill to the Commission as such Select Committee; and

3) To consider and make a recommendation in relation to the amendment of the provisions of the Bill, the deletion therefrom of any of the said provisions or the insertion therein of any further provisions, which in the opinion of the Commission are justified or warranted by any of the enquiries and investigations made under items 1) and 2).

Twenty six meetings were held, the first being on 10 December 1940 and the last being on 29 July 1941. Twenty four of these meetings were held as a Joint Select Committee and two as a Royal Commission. The Royal Commission submitted its report on 29 July 1941.
